The agreement
This is between [legal entity name] ("CoatHQ") and the business that subscribes ("you"). It needs an effective date. It also needs to say how you accept it: by signing an order form, or by clicking through at signup. TO CONFIRM which.
What you get
You get access to the CoatHQ platform for your business, with unlimited users, for the length of your subscription. Your features are the ones in your plan when you buy. Nothing else is promised. Point to the features page here instead of listing features, so the contract doesn't go out of date with every release.
Fees and billing (TO CONFIRM)
- The flat price. Not set as a public number yet.
- The billing period, and whether you can pay yearly.
- Term length, renewal, and how much notice you give to cancel.
- What happens if a bill goes unpaid, and how an account gets turned back on.
- Taxes.
Some costs sit outside the subscription. Stripe charges the card processing fees. Each contractor connects their own Stripe account, so customer payments go straight to them. Phone numbers and call minutes are billed through the telephony provider. TO CONFIRM how telephony usage is passed on.
Your data
- You own your data. CoatHQ processes it to provide the service.
- You can export it when you ask and when the agreement ends, within a set window. TO CONFIRM the window.
- Your data gets deleted after the agreement ends. TO CONFIRM the period.
- See the privacy policy too.
Acceptable use
- Don't use the service for anything unlawful. Don't try to break it or probe it, and don't resell access.
- Messaging: you're responsible for having consent from the customers you message. You're also responsible for following the rules on calls, texts and email where you operate. The platform checks for consent before automated sends and applies quiet hours. But the duty is yours.
- One subscription covers one business. TO CONFIRM how multi-entity or franchise use is handled.
Availability and support
Say what we promise and what we don't. TO CONFIRM whether any uptime commitment or support response target is offered. If there's no SLA, say so plainly instead of hinting at one.
Warranties, liability and indemnity
These are standard sections, and a lawyer will write them. Be sure to state that the platform prepares pay and does not file taxes. Also state that job costing and material planning are tools, not financial advice. The numbers are only as good as what you put in.
Changes, termination and governing law
Say how the terms change and how notice is given. Cover ending the agreement for cause and for convenience, on both sides. Name the governing law and venue. TO CONFIRM the state.
Questions
We settle commercial terms on a call, not on this page. Bring them up when you get started. The features page lists what's in the plan. The pricing page shows how the price is set up.
